Definitions
A 'Client' is a person, persons, business or organisation commissioning works or using any of the services provided by rpmwebs.
A 'Project' is any works undertaken or services provided by rpmwebs on behalf of the client.
General
The acceptance of a commission (project) shall be deemed as a contractual agreement between the client and rpmwebs.
The contract between rpmwebs and the client will be on these conditions, to the exclusion of all other terms and conditions. Any variations to these conditions shall have no effect unless agreed and confirmed in writing by rpmwebs.
Website Design & Hosting
Copyright of the completed web design, images, pages, code and source files created by rpmwebs for the client shall remain the property of rpmwebs (unless specifically agreed and confirmed in writing by rpmwebs)
Whilst every endeavor will be made to ensure that the website and any scripts or programs are free of errors, rpmwebs cannot accept responsibility for any losses incurred due to malfunction, the website or any part of it.
rpmwebs will endeavor to ensure website compatibility with the majority of modern web browser, however we no longer support Internet Explorer prior to version 7.
Different web browsers can render images and text with slight differences in visual appearance. Whilst every effort is made to ensure websites look consistent accross all modern browsers, rpmwebs cannot guarantee consistency accross all browsers and viewing medium.
rpmwebs cannot take responsibility for any copyright infringements caused by materials submitted by the client or used by the client in the future on their website. We reserve the right to refuse any material of a copyrighted nature unless adequate proof is given of permission to use such material.
rpmwebs reserve the right to refuse to handle in any way, material which may be deemed offensive, illegal or in any way controversial, and also to terminate any web hosting service we provide for clients should the necessity arise
rpmwebs will not be liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines.
rpmwebs will not be liable for any costs incurred, compensation or loss of earnings due to the unavailability of the site, its servers, software or any material provided by its agents.
In no event shall rpmwebs be liable for any direct, indirect, consequential, special and exemplary damages, or any damages whatsoever, stemming from the use or performance of a client website or from any information, products and services provided through client sites, even if this website has been advised of the possibility of such damages.
Unless specifically agreed in writing by rpmwebs, clients will not be given access to webspace via ftp, nor will passwords to databases or any other administration facility be provided to the client. (excluding content management systems designed specifically to edit website content via http protocol)
If at any point during the Website Development Cycle a client wishes to cancel, they may do so but will be invoiced an amount that rpmwebs judges to be proportional to the amount of work completed on the commission.
Where a promotional discount has been agreed on a project, a client wishing to cancel before the project is completed, or remove the site from public view (whilst being hosted by rpmwebs) within the first 12 months of it going live, will waive all such discounts and be charged at standard rates for the works undertaken.
rpmwebs reserve the right to utilise any project work undertaken, in whole or in part within their portfolio for marketing and advertising purposes.
All projects undertaken by rpmwebs will include a small hyperlink to rpmwebs.com within the footer. A hyperlink to the clients website will also be included on rpmwebs.com.
Search Engines
Upon completion of a project rpmwebs will submit the websites url (universal resource locator) to popular search engines.
rpmwebs cannot guarantee rankings in any search engine results.
Domain Names
Domain names will be registered by rpmwebs and also registered to rpmwebs current address.
Domain names will be maintained (paid for) automatically on account by rpmwebs. Clients not wanting to renew domain names must inform rpmwebs in writing 21 days prior to the renewal date otherwise all domain renewal costs will be passed onto the client.
rpmwebs will transfer ownership of domain names to the client (or representative of the client) upon request providing:
rpmwebs will endeavour to undertake all domain name transfers within a reasonable timeframe, however a small administration fee may be charged.
Where ownership and control of a domain name is transferred to a client, the client will be responsible for managing the domain name, and maintaining annual renewal fees. rpmwebs will not be responsible for loss of a domain name due to non renewal of payment.
Payment of Accounts
It is rpmwebs policy that any outstanding accounts for work carried out by rpmwebs are required to be paid in full, no later than 30 days from the date of invoice unless alternative arrangements have been agreed and confirmed in writing by rpmwebs.
Once an invoice has been issued you are obliged to pay the balance of payment in full. We will contact clients via email and/or telephone to remind them of such payments if they are not received when due.
If any outstanding accounts are not settled within the above time period, access to the related website may be denied and web pages removed, we will then pass such cases to the Small Claims Court to pursue payment, non payment can result in county court judgements (ccj's) being added to the clients credit rating.
Following consistent non payment of an invoice our Solicitors will contact the client in question, with a view to taking the matter further and if need be to seek payment through legal procedures, and if necessary court summons.
Complaints Procedure
Informal procedure
Anyone who experiences a problem with their web service provided by rpmwebs should raise the matter by contacting us directly via email, giving sufficient information to locate the material (such as an url) and clearly outlining the grounds for complaint.
rpmwebs will approach the individual responsible for the material in question with a view to resolving the matter to the satisfaction of the complainant.
Formal complaints procedure
The formal complaints procedure should only be used where the complainant feels that the nature of the complaint is too serious to be dealt with informally, or where a satisfactory conclusion has not been reached after following the informal procedure.
A formal complaint should be made in writing to rpmwebs, who will acknowledge receipt and ensure that the matter is looked into as soon as possible.
An initial response to any complaint can be expected within seven days of its receipt; a full and considered response to the complaint should be completed within 30 days and any subsequent remedy implemented with the minimum of delay.
rpmwebs reserves the right to make changes to these terms and conditions at anytime and without prior notice.
